GUEST RESERVATION APPLICATION & RENTAL AGREEMENT

IMPORTANT NOTE: YOU DO NOT HAVE A RESERVATION UNTIL WE HAVE RECEIVED THIS AGREEMENT AND YOU HAVE RECEIVED AN EMAIL CONFIRMATION NUMBER. ALL RESERVATIONS ARE ON A “FIRST COME, FIRST SERVED BASIS”. A SIGNED COPY OF THIS GUEST RESERVATION APPLICATION & RENTAL AGREEMENT TOGETHER WITH AN INSURANCE POLICY AND FIRST PAYMENT ARE REQUIRED TO GUARANTEE YOUR RESERVATION WITHIN TWO (2) DAYS AFTER WE HAVE RECEIVED YOUR RENTAL AGREEMENT. TERMS AND CONDITIONS

RENTAL RATES

Rates are quoted on a per night basis. MLRP LLC requires a stay of two weeks or longer during the Christmas holiday. The rates quoted allow for a maximum occupancy of the Property by the number of occupants set forth above. Additional guests are subject to a per- person, per day charge. All rates are subject to change without prior notice.

ADDITIONAL CHARGES (NOT INCLUDED IN NIGHTLY RATE)

The Rental Rate does not include Hawaii transient accommodations (10.25%) and general excise taxes (4.17%) (which apply to all Rental Rates and Additional Charges unless specifically noted), lei greeting, transfers, baggage handling, food, beverages, maid service, laundry service, gratuities, long distance telephone charges, car rental, extraordinary departure cleaning charges (e.g. upholstery or rug shampooing) or any other items or services not specifically listed in the Rental Rate Section above. Upon reasonable request, MLRP LLC will make special arrangements for additional services (e.g. pre-provisioning, equipment rentals, shopping service, maid service, masseuses, private trainers, nanny services, laundry/dry cleaning services) at the cost of such service plus a service fee of 25% of the cost of the service. Note that occupancy of the Property by more than the rate-included number of occupants set forth above will result in extra charges. Stay-overs beyond normal check-out time without prior written permission will be assessed one (1) night additional rent at the Rental Rate.

(MLRP LLC GUEST RESERVATION APPLICATION & RENTAL AGREEMENT)

SECURITY/DAMAGE DEPOSIT

Guest’s are responsible for damages during occupancy whether accidental or otherwise. Vacation Rental Damage Protection (VRD) is available to protect against charge for accidental damages. If VRD is not elected, a security deposit of equivalent coverage value will be required prior to occupancy. If security deposit is elected, it will be refunded 7 days following departure less the reductions for damages. Guest is responsible for theft, extraordinary cleaning costs, long distance phone charges and any other items or services which may be charged to the guest’s incidentals account during occupancy. Any charges not covered by the insurance policy will be billed to your credit card. (Note that this Property requires a Credit Card Guarantee. (See “Credit Card Authorization & Guarantee” attached hereto as Exhibit “A” for more details.)

Vacation Rental Damage Protection: As a part of your stay, you may purchase a Vacation Rental Damage Protection plan designed to cover unintentional damages to the rental unit interior that occur during your stay provided they are disclosed to management prior to check-out. If purchased, the policy will pay a maximum benefit of $3,000. Any damages that exceed $3,000 or are not covered under the plan will be charged to the credit card on file. If, during your stay at one of our rental properties, an insured person causes any damage to real or personal property of the unit as a result of inadvertent acts or omissions, the Insurer will reimburse the Insured for the cost of repair or replacement of such property up to a maximum benefit of $3,000. Certain terms and conditions apply. Full details of the Vacation Rental Damage coverage are contained in the Description of Coverage or Insurance Policy www.vacationrentalinsurance.com/g20vrd . The Vacation Rental Damage plan can be purchased up to, and including at, check-in. By submitting payment for this plan, you authorize and request CSA Travel Protection and Insurance Services to pay directly MLRP LLC any amount payable under the terms and conditions of the Vacation Rental Damage. Please contact MLRP LLC directly if you do not wish to participate in this assignment. If you do not wish to purchase the Vacation Rental Damage Protection, a $3,000 damage deposit upon booking.

RESERVATIONS & PAYMENTS

MLRP LLC will accept and hold a tentative reservation for 24 hours following your booking request. MLRP LLC must receive a signed copy of this completed “Guest Reservation Application & Rental Agreement” (including the “Credit Card Authorization & Guarantee” (Exhibit “A” and the “Reservation Deposit” as indicated on the Guest Accounting within Two days of your booking request or the reservation will be canceled automatically and any other “wait-listed” request will be accepted in its place (no grace period shall apply). Upon receipt and approval by MLRP LLC of the completed and signed copy of this Guest Reservation Application & Rental Agreement and the Reservation Deposit, MLRP LLC shall provide you with a “Confirmation”. Payment of 25% of the balance of the total rental charges will be due at this time, charges for any pre-arranged optional services and taxes shall be due no later than 90 days prior to your Arrival Date and is non-refundable (no grace period shall apply). Reservations initially made within 90 days of your Arrival Date will require 100% payment of rental charges, the “Insurance Policy” and any optional services and taxes within Two days of your booking request. This payment will be charged to your credit card.

RESERVATION CHANGES, CANCELLATIONS & REFUNDS

Any Guest-initiated change of reserved dates subsequent to execution of this “Guest Reservation Application & Rental Agreement” and issuance of the “Confirmation” is subject to prior written approval by MLRP LLC. Guest-initiated cancellation at any time after execution of this “Guest Reservation Application & Rental Agreement” and issuance of the “Confirmation” will result in the loss to Guest of all deposits and payments hereunder which will be retained by MLRP LLC.  A refund will ONLY be made if the Property rented becomes unfit for habitation during the period of time booked and, in MLRP LLC opinion, no equivalent substitute can be found.

GUEST UNDERSTANDS THAT A GUEST-INITIATED CANCELLATION LESS THAN 90 (Or 120 days for Holidays or extended bookings 15 days or longer) PRIOR TO THE ARRIVAL DATE WILL RESULT IN SIGNIFICANT LOSSES TO MLRP LLC AS IT IS UNLIKELY THAT MLRP LLC WILL BE ABLE TO RE-BOOK THE PROPERTY AT THE CONTRACTED FOR RENTAL RATE AND LENGTH OF STAY. MLRP LLC STRONGLY RECOMMENDS THAT GUEST PURCHASE TRIP CANCELLATION INSURANCE TO HELP PROTECT AGAINST FINANCIAL LOSSES IF CANCELLATION IS NECESSITATED BY CERTAIN KINDS OF UNFORESEEN EVENTS, SUCH AS ILLNESS.

OBLIGATIONS OF GUEST AND OCCUPANT(S)

The undersigned Guest bears the financial responsibility for the rental contracted; for incidental damages to the Property caused by any occupant(s) or any guest(s) invited onto the Property. Guest is the only occupant with legal standing in any matter(s) of dispute or litigation which might arise pursuant to, or in consequence of, any accommodations or services provided or substituted under this rental agreement. Therefore, the undersigned Guest shall:

· Sign the “Property Description” (see Exhibit “B” attached hereto) to acknowledge the basic inventory and description of the Property rented.

· Abide by all disclosed property rules and restrictions (including the House Rules of MLRP LLC, a copy of which is attached hereto with the “Property Description” as Exhibit “B”) and inform all other occupants, guests and invitees of said rules and restrictions.

· Be responsible for all acts of other occupants, family, guests, contracted servants or other persons allowed by the Guest onto the Property.

· Notify MLRP LLC immediately of any property defects or damage (including fire) to the Property.

· Allow MLRP LLC and its agents reasonable access to the Property to make repairs.

· Not sublet or assign all or any portion of this rental agreement without the express written approval of MLRP LLC.

· Cook and/or prepare food only in those area(s) of the Property specifically designated for cooking.

· Not bring or allow pets or animals of any size, manner or description onto the Property.

· Leave the Property in the same condition at check-out as it was at check-in; normal wear and tear excepted.

· Return all keys at check-out. Cost of any required replacements or re-keying will be assessed to Guest.

· Not remove any furniture, artwork, music memorabilia, or any other items from the Property. (2)

GENERAL TERMS, RESTRICTIONS & DISCLOSURES

There are several general terms, restrictions and disclosures which apply to the Property, many of which apply to almost all vacation rental properties in Hawaii. These include, but are not limited to, the following:

1. Ocean swimming has certain inherent risks. Wave and current conditions and dangerous sea creatures vary from area to area, day to day and season to season. Always check swimming conditions with the local authorities prior to swimming. Never turn your back to the ocean and never swim alone. Risk and responsibility for ocean swimming rests solely and completely on Guest and occupants.

2. Most private swimming pools do not have a separate child-proof fence surrounding the immediate pool area. Supervise children very carefully and keep all doors and gates leading to pool and spa areas locked. Use of pool and spa facilities is at Guest, occupants, and other invitees own risk. THERE IS NO LIFE GUARD ON DUTY AT THE POOL.

3. Parties, weddings, receptions and other such functions that draw additional traffic are not permitted. Any exception requires prior written permission from MLRP LLC, and may entail additional requirements and fees, including liability insurance coverage.

4. If Guest uses a catering company or similar service provider at the Property, MLRP LLC requires said caterer (or similar service provider) to provide at its sole cost and expense a policy of general liability insurance of not less than Five Hundred Thousand Dollars ($500,000.00) MLRP LLC must be named as an additional insured on said policy. A certificate of insurance showing this requirement has been satisfied shall be presented to MLRP LLC prior to the date on which said company is to render service to Guest at the Property insured. Guest is responsible for its caterer or other service provider complying with this insurance requirement.

5. MLRP LLC is not responsible for theft or damage to personal property or vehicle(s) in or on the Property (including rental cars). Guest should take precautions to protect against such losses by securing valuables, locking doors, never leaving valuables unattended, etc.

6. Guest understands that the resort provides the following items for Guest use: Ocean Activity “toys” such as Boogie Boards (2), beach chairs (2), and a soft cooler.. Use by Guest and other occupant(s) and invitee(s) of Guest of these items is at their own risk. Guest, for itself and for the other occupant(s) and/or invitees of Guest, hereby waives, releases and holds harmless MLRP LLC, and its agents, representatives, employees, partners and owners, and the legal owner of the Property and its agents, from and against any and all injuries, damages, losses, expenses, (including legal costs and reasonable attorneys’ fees), claims or injuries, directly or indirectly arising from the use of these items. Guest acknowledges that MLRP LLC would not rent the Property unless these conditions were accepted by Guest.

SPECIAL TERMS:

LIMITATION OF LIABILITY

Guest, for itself and for the occupant(s) and/or invitees of Guest, hereby releases, waives and holds harmless MLRP LLC, and its agents, representatives, employees, partners and owners, and the legal owner of the Property rented hereunder and its agents, from and against any and all losses, costs, expenses (including legal costs and reasonable attorneys’ fees), damages, claims or injuries, whether direct, indirect, consequential or otherwise, whatsoever or howsoever caused or incurred, whether arising in contract or otherwise in law or in equity, as a result of the rendering of the services hereunder (including the retention of optional services for Guest) or the accommodations herein described or as substituted (including the condition thereof), and including, without limitation, any loss, costs, expense, damage, claim or injury resulting from or related to any delay, substitution, rescheduling or change in the provision of accommodations or services hereunder, by reason of theft or damage to personal property or vehicles in or on the Property, or by reason of military action, revolution, act of God, or whether caused by agents, employees, subcontractors, servants or third parties in supplying any of the accommodations or services as described herein or as substituted. Guest acknowledges that MLRP LLC would not rent the Property unless these conditions were accepted by Guest. Guest also acknowledges that a Resort of this magnitude is constantly undergoing some form of maintenance, which may restrict or limit the use of a particular amenity(s). MLRP LLC is not responsible for any restriction or limitation what so ever. Restriction or limitation(s) shall not be reason for cancellation of this Rental Agreement. In the event your suite is not inhabitable for any reason, MLRP LLC at all times will act in good faith and use its best efforts to substitute accommodations hereunder with accommodations of a type comparable to those for which Guest originally contracted. MLRP LLC, IN ITS SOLE AND ABSOLUTE DISCRETION, RESERVES THE RIGHT TO REFUSE OR DISCONTINUE SERVICE TO ANY PERSON(S) AND/OR TO RESCIND THIS AGREEMENT AT ANY TIME IF GUEST SHALL FALSIFY ANY PART OF THIS APPLICATION.

IN THE EVENT OF CANCELLATION OF THIS AGREEMENT BY MLRP LLC, GUEST’S SOLE AND EXCLUSIVE REMEDY SHALL BE LIMITED TO A REFUND OF PRE-PAID CHARGES (AND ANY UNCOLLECTED CHARGES) FOR THE UNUSED ACCOMMODATION TIME/SERVICES.

ARBITRATION

If any dispute or claim arises out of this Guest Reservation Application & Rental Agreement and the parties are unable to resolve the dispute, then such dispute shall be decided by neutral binding arbitration in Maui, Hawaii before a single arbitrator chosen by the parties acting under the Commercial Arbitration Rules of the American Arbitration Association. Judgment upon an award may be rendered by any court having jurisdiction thereof. The arbitrator may award reasonable attorneys’ fees and costs to the prevailing party.

GUEST ACKNOWLEDGMENT

I/we, the undersigned (individually or collectively as the case may be, “Guest”) hereby apply for rental of the above reference Property and warrant that I/we have read, understand and agree to this “Guest Reservation Application & Rental Agreement” and the Terms and Conditions (including the disclosures) set forth herein. I/we further understand that MLRP LLC offer to rent the Property is conditioned upon Guest’s acceptance of this “Guest Reservation Application & Rental Agreement” including its Terms and Conditions. Exhibits “A” (“Credit Card Authorization & Guarantee”) and Exhibit “B” (Property Description and House Rules) are incorporated hereby reference. (3)

THIS IS A LEGAL DOCUMENT AND SHOULD BE READ CAREFULLY PRIOR TO SIGNING

THIS AGREEMENT SHALL BE GOVERNED BY THE LAWS OF THE STATE OF HAWAII.

MLRP LLC “EXHIBIT A” – 

CREDIT CARD AUTHORIZATION & GUARANTEE

This Credit Card Authorization & Guarantee is executed in conjunction with the MLRP LLC Guest Reservation Application & Rental Agreement (“Agreement”) executed by the Guest as listed under Guest Information – page 1 of the Agreement, (hereinafter referred to as “Guest”) for the rental of the property as listed under Property Information – page 1 of the Agreement, (the “Property”) and is incorporated into the Agreement by reference. Capitalized terms used herein but not otherwise defined herein have the same meanings as in the Agreement.

The Credit Card Authorization & Guarantee provisions contained herein and the term “MLRP LLC” as used herein, are extended to include MLRP LLC and its agents.

WHEREAS, the undersigned understands that MLRP LLC may not be able to re-book the Property for the same time period covered by the Guest’s reservation, and consequently will lose income should Guest cancel this reservation, and

WHEREAS, the undersigned understands that the Reservation Deposit and Security/Damage Deposit are not refundable or recoverable in the event of Guest’s cancelation, unless MLRP LLC is able to re-rent the time period booked by Guest at an equivalent rental rate and length of stay, and

WHEREAS, the undersigned understands that the Reservation Deposit and Security/Damage Deposit may not be sufficient to cover (a) MLRP LLC damages if Guest fails to meet its obligations under the Agreement; (b) damage to, and/or loss of items from, the Property; and/or (c) long distance telephone charges and other items which Guest may charge to Guest’s incidentals account; and

WHEREAS, it is impractical or impossible for MLRP LLC to obtain the Guest’s credit card imprint with an original signature.

NOW, THEREFORE, Guest agrees as follows:

1. In addition to making the “Reservation Deposit” and “Security/Damage Deposit” in the amounts specified in the Agreement, Guest shall fully execute this “Credit Card Authorization & Guarantee” to help cover MLRP LLC damages (after application of the Security/Damage Deposit) resulting from (a) the failure of Guest to meet Guest’s obligations under the Agreement, including the failure to make final payment under the Agreement; (b) damages to, and/or loss of items from, the Property (including damages from use exceeding normal wear and tear requiring repair(s) and/or extraordinary cleaning costs); and (c) long distance telephone charges and any other items or services which may be charged to Guest’s incidentals account during occupancy, including items stated in the above authorization.

2. It is hereby agreed by Guest that any charges, including, without limitation, unpaid long distance telephone calls, unpaid expenses for services rendered to Guest, the cost to cover damaged or missing property, or any other amounts in excess of the Reservation Deposit and Security/Damage Deposit, including items stated in the above authorization, will be billed to the Guest’s credit card in accordance with the terms hereof and the “Reservations Changes, Cancellations & Refunds” Section of the Agreement. Guest hereby specifically authorizes and instructs MLRP LLC to make such credit card charges pursuant to this Credit Card Authorization & Guarantee, and Guest warrants that the signature below is valid and is the same as on the back of the credit card listed below. In sum, Guest authorizes and instructs MLRP LLC to charge to the credit card listed below the amount of any charges and/or damages set forth above that are in excess of the Reservation Deposit and/or Security/Damage Deposit, as the case may be.

3. Notwithstanding the foregoing, in the event that the Security/Damage Deposit is sufficient to cover the charges and/or damages, if any, as contemplated herein, the Security/Damage Deposit minus deductions, if any, shall be returned to Guest within 14 business days of Guest’s Departure Date.

4. A credit card deposit equal to 25% of the entire reservation amount is due upon booking. The reservation may be forfeited in the event the deposit is not received within this time frame. The entire balance of the reservation will be charged 90 days prior to Guest’s arrival. ALL DEPOSITS ARE NON REFUNDABLE.

DISCLOSURES / RESTRICTIONS:

1) All rentals are subject to the Terms and Conditions of the Guest Reservation Application.

2) Guest agrees to abide by ANY directive that comes directly from Security and/or Engineering at the resort. This includes but is not limited to PEST CONTROL services, Fire Drill(s), any required maintenance to a suite and/or common areas, and ALL others.

3) All Taxes and Fees are subject to change without notice (Taxes and fees are beyond the control of MLRP LLC) Nightly Room rates are GUARANTEED, and cannot be changed.

4) ENTRY. At any time, MLRP LLC, staff, Security, Maintenance and Engineering, the Maui Police and Fire Department, may enter the rental you occupy, in the event of any conceived Emergency and or Maintenance issue(s). In the event of any scheduled maintenance and or periodic pest control which is MANDATORY, by the Honua Kai Resort and Spa, the Resort shall notify the Guest within 24 hours. Guests shall comply with all maintenance request(s).

DISCLAIMER:

HOUSE RULES & OTHER FEES:

· SMOKING: Smoking inside the Suite/Lanai is ABSOLUTELY FORBIDDEN. A fine of $2,000.00 will automatically be assessed for smoking inside the Suite. Liability for damage is unlimited. All Condominiums and Hotels in Hawaii are subject to NON-SMOKING LAWS. There are designated smoking areas, outside the building(s) both on the mountain and ocean side..

· MUSIC & ENTERTAINMENT: Please be considerate of our neighbors. No loud music at anytime, and no parties, music, swimming pool games, noise, etc. during Quiet time – between 8:00 pm and 8:00 am.

· PARKING: TBD

· Resort Fees: TBD

· FURNITURE: We ask that you do not sit on the furniture with bare skin and suntan oils. These products can stain the fabric. Please use the beach towels provided.

· SWIMMING POOL & SPA: No glass is permitted poolside. Acrylic glasses are provided for your use. Please note that all tiled lanais and the pool areas are slippery when wet or if your feet are wet. Please be careful. No running, no diving, no horseplay. Parents and/or guardians are responsible for their children.
